# **Terms and Conditions**

These conditions will apply to any Order made by you as a Client of the Company for the provision of Goods. Please read these Conditions carefully and make sure that you understand them. Please, also, note that by accepting these Conditions, you agree to be bound by them and the other documents expressly referred to in them.

Last updated: November 2026

These terms apply when you use kodgav.co.uk (the "Website") or the Kodgav Digital Sourcing Hub at platform.kodgav.com (the "Platform"), and to every order for ingredients you place with us. Part A covers the Website and the Platform. Part B covers buying from us.

"Kodgav", "we" and "us" mean Kodgav UK Ltd, registered in England and Wales under company number 12970766, at 60 Mill Mead Industrial Centre, Mill Mead Road, London N17 9QU. Where a quote or contract names Kodgav EU Ltd (Unit 2, 12a Lower Main Street, Lucan, Co. Dublin, K78 X5P8, Ireland, company number 805399) as the seller, "Kodgav" means Kodgav EU Ltd for that order. "You" means the business that uses the Platform or places an order, and the people who act for it.

The Website and the Platform are for businesses only. By creating an account or placing an order, you confirm that you act for a business and have authority to bind it.

Our Privacy Policy explains how we use personal data: [kodgav.co.uk/en-gb/privacy-policy](https://kodgav.co.uk/en-gb/privacy-policy?hsLang=en-gb).

## Part A: Using the Website and the Platform

**A1. Accounts.** You must give accurate details when you sign up and keep them up to date. We may check your business before approving an account, and we may refuse, suspend or close an account, for example if details are false or these terms are broken. Keep your password private. You are responsible for what is done through your account.

**A2. Your team.** Colleagues at your company can have their own accounts. Your company's Admin decides each colleague's team label (Admin, Finance, Quality, Delivery or Logistics), and the label decides which quotes, orders and documents they can see and act on. Your company is responsible for the people it lets act for it, and for removing access when someone leaves.

**A3. Prices and information on the Platform.** Prices on the Platform are for the market and volume shown and can change at any time until you accept a quote or a booking. Product descriptions, specifications and sailing dates are given in good faith. A specification sheet or certificate of analysis for a lot is the reference for that lot. Sailing dates are the shipping line's estimates.

**A4. Producers.** We show each producer by its Producer ID, not by name. Certificates shown for a Producer ID belong to that producer.

**A5. Documents.** Trade documents on the Platform are for your company's use in the order they relate to. You may share them with your advisers, banks, insurers and authorities as needed for that order.

**A6. Fair use.** Do not misuse the Website or the Platform. In particular, do not try to get access you are not given, copy prices or content in bulk, interfere with how they work, or use them for anything unlawful.

**A7. Our content.** The Website and the Platform, their content and the Kodgav name and logo belong to us or our licensors. You may use them only to deal with us.

**A8. Availability.** We work to keep the Platform running and correct, but it may be unavailable at times, for example for updates. Parts of the Platform are new and may change. We are not responsible for losses caused by the Platform being unavailable, except where Part B or the law says otherwise.

**A9. Links.** Links to other websites are for your information. We are not responsible for their content.

## Part B: Buying ingredients from Kodgav

**B1. How a contract is made.** A quote from us is valid until the date it shows. When you accept a quote or a booking on the Platform, or by email, you make an offer to buy on its terms. A contract is made when we confirm the order in writing, which includes the Platform and email: for example by issuing a pro forma invoice or a sales and purchase agreement. Some orders need our approval first, such as forward contracts; we tell you when they do.

**B2. Which terms apply.** These terms apply to every order. Where they differ, the contract document (sales and purchase agreement or pro forma invoice) comes first, then the quote, then these terms. Your own terms do not apply, even if they are in your order or another document, unless one of our directors agrees in writing. Incoterms 2020 apply as stated in the contract.

**B3. Compliance review.** You can review our documents for a product before you commit. If you approve a product from a producer, the approval covers repeat orders of the same product from the same producer for 24 months, so they do not need a new review. We may withdraw an approval, for example if a producer is no longer approved. The next order then goes through review again.

**B4. Pallets on shared containers.** When you book pallets on a shared container, we hold space for you until the deadline we show. If the sailing closes before your order is confirmed, we can move your pallets to the next sailing at the same price. Space not confirmed by the deadline is released. A pallet is about 1 MT; we invoice on the actual net weight.

**B5. Price and payment.** Prices exclude VAT, duties and other taxes unless the contract says otherwise. You must pay the amounts and by the dates in the contract, in full and without deduction. If you pay late, we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 and recover our reasonable costs of collection, and we may hold further shipments until you have paid.

**B6. Delivery.** We deliver as the contract and its Incoterm state. Delivery dates are estimates. We are not liable for a delay of up to 30 days. If the delivered quantity differs from the contract by up to 5%, you accept it and pay for the actual quantity. If it differs by more, you may accept it at the actual quantity or reject the difference.

**B7. Risk and ownership.** Risk passes to you as the Incoterm states. The goods remain ours until we have received payment in full for them. Until then, you must store them separately, keep them insured and in good condition, and let us collect them if you do not pay.

**B8. Quality and claims.** We warrant that the goods match the contract's product, specification and quantity; that we and our producers hold the permits and certificates stated; and that each lot can be traced to its producer by batch, date and volume.

You must inspect the goods on delivery. Report shortages, loss or visible damage on the delivery documents or within 24 hours of delivery. Report any other quality claim within 90 days of delivery, supported by a certificate from SGS or an equivalent independent inspector. A claim does not delay payment.

If a claim is justified, we will, at our choice, replace the goods or refund the price of the affected goods.

**B9. Liability.** Our total liability for an order is limited to the price of that order. We are not liable for loss of profit, loss of business, or any indirect or consequential loss. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

**B10. Events beyond our control.** We are not liable for delay or failure caused by events beyond our reasonable control, such as extreme weather, crop failure, strikes, port closures, shipping disruption, epidemics, war or government action. We will tell you promptly and do what we reasonably can to limit the effect.

**B11. Non circumvention.** Producers and other third parties are introduced to you through Kodgav. While you buy from us and for 2 years after your last order or the end of your contract, whichever is later, you must not bypass Kodgav, directly or indirectly, to deal with a producer or other third party you know of through Kodgav, unless we agree in writing. If you do, we may claim full commercial compensation, including lost profits.

**B12. Confidentiality.** Each of us keeps the other's confidential information private, including prices, contract terms and producer details, except where the law requires otherwise.

**B13. Ending a contract.** We may suspend or end a contract if you do not pay on time, become insolvent, or seriously break these terms. The contract document sets out any other cancellation rights.

**B14. Notices.** Notices must be in writing, sent by email or registered post to the addresses in the contract.

## Part C: General

**C1. Transfer.** You may not transfer your rights or obligations without our written consent. We may transfer ours to a company in our group or a buyer of our business.

**C2. Whole agreement.** These terms and the contract documents are the whole agreement between us for each order. If a court finds part of these terms invalid, the rest still applies. A delay in enforcing a right does not waive it. Nothing in these terms creates a partnership or agency.

**C3. Changes.** We may update these terms. The version in force when you accept a quote applies to that order.

**C4. Law and disputes.** These terms, every contract under them and any dispute about them (including non contractual disputes) are governed by the law of England and Wales. Where a sales and purchase agreement sets its own governing law or dispute resolution (for example arbitration in London), that agreement applies to disputes about it. Otherwise the courts of England and Wales have exclusive jurisdiction.

**C5. Contact.** sales@kodgav.com, or the address above.
